Terms of Service
Effective date: SEP 28 2026
Agreement
These Terms of Service apply between Coding Folks ("we", "us"), a team of independent software developers based in Depok, Indonesia, and the person or company that engages us for a project or uses this website ("Client", "you"). By engaging us or using this website, you agree to them. Specific project details (scope, price, timeline) are defined in a separate written proposal or agreement ("Project Agreement") between you and Coding Folks. Coding Folks is not a registered company: the team member or members who sign the Project Agreement are the party to it for that project, and are named in it. If the Project Agreement and these Terms differ, the Project Agreement prevails for that project.
Services
We provide software development services including web applications, mobile applications, custom software, UI/UX design, and related maintenance and support, as agreed per project.
Project Process & Client Responsibilities
- Projects proceed based on the scope agreed in the Project Agreement.
- Client agrees to provide timely feedback, content, and access needed to complete the project.
- Delays caused by the Client (late feedback, missing materials) may extend the agreed timeline accordingly.
- Any request outside the agreed scope will be treated as a separate, additional request and quoted separately.
- When we deliver a milestone or the final product, the Client has 7 days to test it and report defects. If the Client reports nothing in that time, or uses the delivered work in production, it is accepted.
- Client confirms it has the right to give us the content and materials it provides, and will cover claims by third parties that this content infringes their rights.
Payment Terms
- Payment terms (down payment, milestones, final payment) are specified in the Project Agreement or invoice. Unless they say otherwise, invoices are due within 7 days, in Indonesian rupiah.
- Prices are stated before value-added tax (PPN) and any other tax that applies, unless the Project Agreement says they are included.
- A down payment starts the work and is not refundable for work already done.
- If payment is overdue, we may pause work, and unless otherwise agreed a late fee of 1% of the overdue amount per month applies.
- Prices shown on our website are indicative estimates and are not final until confirmed in a written proposal.
Intellectual Property
- Upon full payment, ownership of the copyright in the final deliverables (source code, designs) created specifically for the Client's project transfers to the Client. The Project Agreement serves as the written assignment, and we will sign a separate deed on request. Until full payment, the Client has no more than the right to review the work. The exceptions are:
- (a) Coding Folks' pre-existing tools, frameworks, or internal libraries used in the project, which remain our property but are licensed to the Client on a non-exclusive, perpetual, worldwide basis for use within the delivered product; and
- (b) Third-party and open-source software, plugins, or assets, which remain subject to their own licenses.
- We may display completed projects in our portfolio unless the Client requests confidentiality in writing.
Confidentiality
Both parties agree to keep confidential information shared during the project private, and not disclose it to third parties without consent, except as required by law. We may share it with team members and contractors working on the project, who are bound by the same duty. This continues for 2 years after the project ends.
Personal Data
Each party handles personal data it receives in line with the law on personal data protection. How we handle data is described in our Privacy Policy. If the project involves personal data of the Client's own customers or users, we process it for the Client as described there, and the Client is responsible for the legal basis to do so.
Warranty & Support
- We provide bug fixes for defects reported within the warranty period stated in the Project Agreement, or 30 days from acceptance if it states none.
- Warranty does not cover issues caused by third-party changes, Client modifications, or hosting/infrastructure outside our control.
- Ongoing maintenance beyond the warranty period is subject to a separate support agreement.
- Apart from this warranty, the delivered work is provided as it is, and we do not promise that it will run without interruption or be free of every defect.
Limitation of Liability
To the extent permitted by law, Coding Folks is not liable for indirect, incidental, or consequential damages, such as lost profit or lost data, arising from the use of the delivered software. Our total liability for a project is limited to the amount the Client paid for it. This does not limit liability for intent or gross negligence, or for anything the law does not allow to be limited.
Force Majeure
Neither party is liable for failing to perform because of events beyond its reasonable control, such as natural disaster, war, government action, or failure of power, internet or hosting services, for as long as they last. It does not excuse paying money that is already due. The affected party tells the other without delay. If this lasts more than 30 days, either party may end the project under "Termination".
Termination
Either party may terminate a project with written notice as specified in the Project Agreement. The Client will be billed for work completed up to the termination date. Both parties waive Articles 1266 and 1267 of the Indonesian Civil Code, so that a court decision is not needed for termination to take effect.
Governing Law and Disputes
These Terms are governed by the laws of the Republic of Indonesia. Any disputes will first be settled through good-faith discussion for 30 days, and otherwise resolved by the Depok District Court (Pengadilan Negeri Depok).
Language
These Terms are written in English and Indonesian. If the two differ, the Indonesian version prevails.
Changes to These Terms
We may update these Terms from time to time. A change applies from its effective date and to new projects, and does not alter a Project Agreement already agreed unless both parties agree. Continued use of this website after a change means you accept the updated Terms.
